Terms of Service

1. Agreement

These terms of service (“Terms”) govern your use of the LumERP platform operated by Lumethics Ltd (“we”, “us”, “our”). By accessing or using LumERP, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. Definitions

  • “Platform” means the LumERP web application, APIs and related services.
  • “Customer” means the organisation that holds the subscription.
  • “User” means any individual authorised by the Customer to access the platform.
  • “Customer Data” means all data entered into the platform by Users.

3. Account and access

You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Subscription and payment

Access to LumERP is provided on a subscription basis as described on our pricing page. Subscriptions are billed annually in advance. Prices are quoted in GBP and are exclusive of VAT unless stated otherwise. We reserve the right to adjust pricing with 60 days’ written notice before your next renewal.

5. Your data

You retain all rights to your Customer Data. We do not access, use or share your Customer Data except as necessary to provide the platform, comply with law, or as described in our privacy policy. We will not use your data to train machine learning models or for any purpose beyond delivering the service.

6. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the platform.
  • Interfere with or disrupt the platform or its infrastructure.
  • Reverse-engineer, decompile or disassemble any part of the platform.
  • Share your account credentials with unauthorised third parties.
  • Use the platform to store or transmit malicious code.

7. Availability and support

We aim to maintain 99.5% uptime for the platform, measured monthly, excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 48 hours in advance. Support is provided according to your subscription plan as described on our pricing page.

8. Data security

We implement industry-standard security measures including encryption at rest and in transit, role-based access controls, multi-factor authentication and daily encrypted backups. Our full security practices are described in our privacy policy.

9. Intellectual property

The platform, including its design, code, documentation and branding, is the intellectual property of Lumethics Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for your internal business purposes during the subscription term.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claims arising from your use of the platform shall not exceed the fees you paid to us in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunity.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages or expenses arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the subscription at the end of the current billing period with 30 days’ written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, we will make your Customer Data available for export for 30 days, after which it will be deleted.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
